Zákon o obchodních korporacích s komentářem – Pravda Pavel (2014)

The Commercial Corporations Act is one of the key regulations of the new private law and, effective from January 1, 2014, replaces the Commercial Code. It contains regulations for commercial corporations – business companies (general partnership, limited partnership, limited liability company, joint-stock company) and cooperatives. It brings a number of groundbreaking changes that companies and cooperatives must address. We provide the full text with an introductory commentary aimed at facilitating this work for entrepreneurs. The commentary will familiarize readers with the relationship of the law to other private law regulations, especially the new Civil Code and the Registration Act, and will present the structure of the law. The main focus of the commentary is the analysis of the most significant changes that the law on business companies and cooperatives will face, both from a general perspective and according to individual legal forms. Special attention is also given to the question of how companies established before the effectiveness of this law should deal with the new legal regulation.
