One of the current topics mentioned in connection with the fight against corruption is the issue of anonymous securities, or bearer shares, which allow for the concealment of the ownership structure of joint-stock companies. In practice, this often leads to tax evasion and money laundering. The process of electronic securities has introduced new aspects to this area. The author addresses the legal aspects of electronic securities both in our country and abroad, particularly in the European context, focusing on both the advantages and the risks that this type of security entails. In addition, he examines the legal nature of electronic securities, as well as the nature of the rights that can be created in relation to them. Finally, the author analyzes the handling of these securities through transfers and the establishment of collateral, including situations with an international element.
