Description
The monograph comprehensively addresses fiduciary duties as fundamental obligations of managers of others' affairs. The authors, in seeking answers to the question of what a fiduciary position is and what its content entails, draw from the regulation and doctrinal development of fiduciary duties in the United States (with an emphasis on the state of Delaware), Great Britain, and the Federal Republic of Germany. The development of the issue in the Czech Republic is also taken into account. Based on the findings, the authors define the fiduciary position and the resulting obligations (duty of loyalty, duty of care). Based on the findings, they present a model solution that should serve as a guide for interpreting the existing Czech regulation as well as a source of inspiration de lege ferenda.
