The monograph discusses the phenomenon of criminal liability of legal entities, which is one of the exceptionally controversial issues in criminal law theory. The author analyzes selected problematic topics and questions regarding the legal regulation of criminal liability of legal entities in the Czech Republic, their sanctioning, and proceedings against them, placing the issue in the European context of the development of continental legal systems and relating it to criminological contexts. It seeks to answer both general questions – whether it was truly necessary for the Czech Republic to adopt this type of legal liability, what influence international obligations and recommendations had during its adoption, what the specifics of sanctioning legal entities are – and specific problems arising from the application of the law on criminal liability of legal entities and proceedings against them, such as the issue of the scope of criminalization of the actions of legal entities, the question of the transfer of criminal liability of legal entities to legal successors, or the peculiarities of criminal proceedings against legal entities. It appears that legislative solutions are often debatable, raise doubts, and in the search for the right solution, a number of other questions arise that cannot be resolved doctrinally...
